1. To obtain RM100M share financing to acquire the shares. 2. You are offered 268M collateral shares at 15% discount (RM0.45- 15% discount = RM0.38) 268M collateral shares are equivalent to RM101.8M. The collateral shares are to be held by a reputable legal firm or international bank as trustees under 6 months’ moratorium. 3. After moratorium, you have first right of refusal to purchase 268M shares at 0.38 notwithstanding that the projection share price of RM2 by then. Any profit accumulated in excess of 45c from the disposal of shares shall be shared equally between the parties. For example, in the event that 100M shares are disposed at RM2, the calculations are as follows:-(100M x RM1.55)/2= RM77.5M each 4. Owner buys back at 0.45 per share if you decide to exercise the refusal right. Your Profit: RM0.07 x 268M = RM18.8M
